These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Hexa Agents Inc. (“Hexa,” “we,” “us,” or “our”). These Terms govern your access to and use of our website at hexaagents.com (the “Site”), our cloud-hosted platform (the “Platform”), our market research programs, and all related services, communications, and materials (collectively, the “Services”).
By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
Important: SMS and Telephone Consent Is Separate
Your agreement to these Terms does not constitute consent to receive SMS text messages or telephone calls from Hexa. Consent to receive SMS messages or telephone calls is obtained separately and is entirely voluntary. You are not required to consent to SMS or telephone communications as a condition of using the Services, creating an account, making any purchase, or entering into any other transaction with Hexa. You can reply STOP to any message to opt out, or HELP for assistance. See Section 6 for full details.
Hexa is the AI operating system for manufacturers and distributors. Our Platform provides purpose-built AI tools designed to streamline workflows across sales, procurement, finance, and customer operations for businesses in the manufacturing and distribution industries.
In addition to our Platform, Hexa conducts market research programs focused on the manufacturing and distribution sector. These programs involve reaching out to industry professionals to gather insights through surveys, interviews, and questionnaires. Our research aims to better understand industry trends, operational practices, and workflow challenges to inform product development and contribute to broader industry knowledge.
The Services include, but are not limited to: (a) access to and use of the Platform; (b) our market research and industry survey programs; (c) communications related to our research activities; and (d) any content, tools, features, or resources made available through the Site or Platform.
You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
If you are accessing or using the Services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and references to “you” in these Terms refer to both you individually and the entity you represent.
Certain features of the Services may require you to create an account. If you create an account, you agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at admin@hexaagents.com if you become aware of any unauthorized use of your account.
We reserve the right to suspend or terminate your account at our discretion if we reasonably believe that you have violated these Terms or if your account is being used in a manner that could harm Hexa, our users, or third parties.
As part of our mission to advance understanding of the manufacturing and distribution landscape, Hexa operates market research programs that involve outreach to industry professionals. The purpose of these programs is to gather insights on industry practices, workflow challenges, technology adoption, and operational trends through structured surveys, interviews, and questionnaires.
Participation in our market research programs is entirely voluntary. You are under no obligation to respond to any survey, participate in any interview, or provide any information. You may decline participation or withdraw at any time without consequence.
Research findings may be compiled into anonymized, aggregated reports. Individual responses are never attributed to specific participants without explicit written consent. We are committed to maintaining the integrity and objectivity of our research.

This section describes the terms governing SMS text messages and telephone calls from Hexa Agents Inc. in connection with our market research programs. Please read this section carefully.
Hexa Market Research
SMS messages and telephone calls are used solely for purposes related to our market research programs, including survey invitations, interview scheduling, research follow-ups, and study-related communications. We do not use SMS or telephone communications for marketing, advertising, or promotional purposes.
For initial research outreach, we may send a single introductory SMS message or place a single telephone call to professionals whose contact information is publicly available (see Section 7), inviting them to participate in our market research programs. This initial communication identifies Hexa Agents Inc. as the sender, describes the purpose of the outreach, and provides clear instructions on how to opt out.
No further messages or calls are sent unless you affirmatively opt in to continued communication. Consent for ongoing messages may be obtained through a web-based opt-in form on our Site, verbal consent provided during a research interaction or telephone call, or written consent via email or other documented communication.
Consent Is Voluntary
Consent to receive SMS messages or telephone calls is not required as a condition of purchasing any goods or services, creating an account, or using any feature of the Hexa platform. You may choose not to provide consent and still access and use all other aspects of our Services.
You will receive no more than 5 SMS messages per month.
This message frequency cap applies only after you have affirmatively opted in to continued communication. Initial research outreach is limited to a single introductory message. Message frequency varies depending on the research program. Recurring messages may be sent only for the duration of an active research program and only after you have opted in to continued communication.
Message and data rates may apply. Please contact your wireless carrier for details about your text messaging plan and any charges that may apply.
You may opt out of receiving SMS messages at any time by replying STOP to any message you receive from us. Upon receiving your opt-out request, we will send a confirmation message and cease sending further SMS messages. Any reply indicating that you do not wish to receive further messages — such as “no thanks,” “not interested,” or “remove me” — will also be treated as an opt-out request and honored promptly. You may also opt out by contacting us at admin@hexaagents.com.
To opt out of telephone calls, you may inform us during any call, reply to any message with STOP, or email us at the address above.

No Mobile Information Sharing
We will never sell, share, or distribute your mobile phone number, SMS opt-in data, or any information collected through our SMS or telephone programs to third parties or affiliates for marketing or promotional purposes. This commitment applies at all times, without exception. Your mobile information is used solely by Hexa Agents Inc. for the research-related purposes described in these Terms and our Privacy Policy.
Our messaging program is supported on major U.S. wireless carriers including AT&T, T-Mobile, Verizon, and US Cellular. Carriers are not liable for delayed or undelivered messages. Service availability may vary by carrier and device.
In connection with our market research programs, we may collect professional contact information from publicly available open directories and sources to identify relevant industry professionals. These sources include, but are not limited to:
The information we collect from these sources is limited to professional contact details relevant to our research, such as business name, job title, professional email address, and work telephone number. We do not collect sensitive personal information from public directories.
Our collection and use of publicly available professional information is based on our business interest in conducting industry research. We take care to ensure that our use of such data is proportionate to our research objectives and compliant with applicable data protection laws.
If you believe your information has been collected from a public directory and you would like it removed from our records, please contact us at admin@hexaagents.com, and we will promptly process your request.
All content, features, functionality, software, designs, text, graphics, logos, trademarks, and other materials available through the Services (collectively, “Hexa Content”) are owned by Hexa Agents Inc. or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Hexa Content solely for your personal or internal business purposes, subject to these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Hexa Content without our prior written consent.
Research reports, aggregated findings, and analytical outputs produced by Hexa remain the intellectual property of Hexa Agents Inc. Individual survey responses or feedback you provide may be used by Hexa in aggregated or anonymized form as described in our Privacy Policy.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
Hexa does not warrant that: (a) the Services will be uninterrupted, secure, or error-free; (b) the results obtained from the Services will be accurate, reliable, or complete; or (c) any defects in the Services will be corrected.
Market research findings, reports, and insights provided through the Services are for informational and research purposes only. They do not constitute professional advice (legal, financial, or otherwise) and should not be relied upon as a substitute for independent professional judgment.
Hexa makes no representations or warranties regarding the accuracy, completeness, or reliability of any information obtained from publicly available sources used in our research programs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEXA AGENTS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF HEXA AGENTS INC. FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HEXA, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Hexa Agents Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; or (d) any content or information you submit, post, or transmit through the Services.
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.
By using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and sharing of your information as described therein. For detailed information about our SMS and telephone communication practices, data sourcing from public directories, and your privacy rights, please refer to the Privacy Policy.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where required by law or where we deem appropriate, provide you with additional notice (such as via email or a prominent notice on our Site).
Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue your use of the Services. We encourage you to review these Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction in the State of Delaware.
Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
Notwithstanding the foregoing, either party may bring an individual action in small claims court in their jurisdiction of residence.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
